Chapter 7 Infringements and Confidentiality7.1 Party B guarantees that it has lawful ownership of all the Software License supplied byParty B to Party A stipulated in agreement, and that Licensor has the right to transferthem to Licensee. In case a third party brings a charge of infringement, Party B shalltake up the matter with the third party and bear all legal and financial responsibilitieswhich may arise.7.2 Party C agrees to keep the Software and technical documentation supplied by Party Bunder confidentiality within the validity period of the agreement. If a part or the wholeabove-mentioned Software or Technical documentation publish to the public by PartyB or any third party, Party C shall no longer to have the confidential obligations to theopened parts.7.3 Both Party B and Party C shall agree to and inform each other in time if third partyinfringes any Party’s benefit and belongings. It is necessary to take legal action to thirdparty who infringes any parties’ benefit and belongings in this field. Both parties shallcooperate with each other.7.4 The confidentiality term shall be 10 years, followed the period of the Appendedagreement.Chapter 9 Taxes8.1 All taxes imposed by the People's Republic of China on Party C in connection with theimplementation of this Agreement shall be paid by Party C.8.2 All taxes imposed by the People' Republic of China on Party A in connection with theimplementation of this Agreement shall be paid by Party A.8.3 All taxes imposed by the People' Republic of China on Party B in connection with theimplementation of this agreement shall be paid by Party B.8.4 Notwithstanding the above mentioned clauses, in the event of Chinese governmentimposes any customs duty, value-added tax and any other charges in connection withimportation, the tax body stipulated in Tax Law of the People’s Republic of China shallpay such duty, tax or charges as may be necessary.Page 6 of 108.5 All the taxes incurred outside China and imposed to Party B by governments other thanChina shall be borne by Party B.Chapter 9 Law, Jurisdiction and Interpretation9.1 All the disputes in connection with or in the execution of the Contract shall be settledby all parties through friendly consultations. In case no settlement to the disputes canbe reached by all parties through such consultations, the disputes shall be settledthrough arbitration.9.2 These General Terms and any Specific Agreement (if and as varied and/orsupplemented from time to time) shall be governed by and construed in accordancewith the laws of Hong Kong.(i) Any question or difference which may arise concerning the construction,meaning or effect of this Agreement or any matter arising out of or inconnection with this Agreement shall in the first instance be referred to theCompany's project manager and the Client's project manager for discussion andto attempt to reach resolution within ten (10) calendar days.(ii) If a matter referred to in clause (i) is not resolved as defined in clause (i), the
