Zhang Hong is currently the Joint CEO of the Company and has been an Executive Director of the Company since its incorporation in 2003. He will, upon Completion, remain on the Board as Executive Director and Vice-President, Strategic Investments, of the Company. He will assume responsibility for identifying and assessing opportunities for strategic investments (including mergers and acquisitions) for the Proforma Group, and for overseeing the implementation of any such strategic investments.He joined the Group as Henan Snowcity’s managing director in September 1999 and was responsible for the day-to-day management of the Group’s operations as CEO of the Company. Sim Hong Boon is the founder and senior partner of Sim & Associates, Architects, Planners and Engineers and will be appointed as a Lead Independent Director and Chairman of the Remuneration Committee upon Completion.During his career, Mr Sim has served on various professional organisations, including as president of the Singapore Institute of Architects from 1974 to 1978, honorary secretary of Architects Regional Council Asia (“Arcasis”) and chairman of Arcasia Board of Architectural Education from 1976 to 1987, Board of Architects from 1973 to 1980 and Professional Engineers’ Board from 1977 to 1980.Mr Sim is also active in the PRC, and was appointed as an adviser to the committee for the development and management of new high technology industrial estate in Jinan, Shandong Province and as trade and economic development adviser to the Municipal People’s Government of Zao Zhuang City in 1993. In 1994, he was appointed senior economic adviser to the the Municipal People’s Government of Zao Zhuang City. He also served on the Singapore Shandong Business Council from 1993 to 1999 and from 2004 to 2006, and was an executive committee member of the Shandong Business Club from 1995 to 1999.Mr Sim has also received several public service accolades, including the Public Service Medal in 1981 and the Public Service Star (BBM) in 2003 by the Singapore government. Lim Kern is currently the Chief Financial Officer of ASIMCO Technologies Limited, one of the largest, independent automotive components manufacturers in the PRC, and will be appointed as an Independent Director and Chairman of the Audit Committee of the Company upon Completion.Mr Lim held finance related positions in Hewlett-Packard from 1994 to 1996. Between 1996 and 2003, Mr Lim was with General Electric, where he held positions of finance leader and finance manager in different divisions in the company. He was based in Singapore from 1996 to 1998 and subsequently in the US from 1998 to 2003. Mr Lim joined Eastman Kodak Company in 2003 as global acquisition leader and adviser to the chief financial officer in the US. He was appointed finance director and subsequently chief financial officer for the Greater Asia Pacific Region and was based in Shanghai. He joined ASIMCO Technologies Limited as Chief Financial Officer in March 2006.Mr Lim graduated from the Nanyang Technological University in Singapore in 1994 with a Bachelor of Science in Financial & Management Accounting. He has attended executive programmes at the Stanford Graduate School of Business, Hong Kong, the International Institute of Management Development, Lausanne, Switzerland, the Kellogg Graduate School of Management (Northwestern University), US and the Harvard University – Graduate School of Business, US. He has also attended the General Electric Financial Management Leadership Training at the JF Welch University, US between 1998 and 2001.

Zhang Shulin is currently the chief consultant of China Automotive Technology and Research Centre, and will be appointed as an Independent Director of the Company upon Completion.Mr Zhang was an engineer with Hebei Xingtai Hongxing Automobile Factory from 1970 to 1983, and was an engineer with Jingjinji Automobile Industry Venture Corporation from 1983 to 1985. In 1985, he joined China National Automotive Industry Corporation, a government authority on enterprise administrations for the automobile industry, as deputy director of the planning department and was responsible for the automotive manufacture project planning. He was appointed as associate director of the Automobile Industry Department of Ministry of Mechanics Industry in 1993 and was later appointed as associate director and secretary-general of China Association of Automotive Manufacturers by the National Mechanics Industry Bureau in 1998.Mr Zhang obtained a bachelor of automatic control from Tsing Hua University in 1965. He was certified as a Senior Qualified Engineer (Professor Level) by the Ministry of Mechanics Industry, PRC in 1996.

The Company believes that the members of the new Board possess the relevant experience and expertise to act as directors of the Company as evidenced by their business and working experience set out above. Messrs Zheng Xueming and Zhang Hong are both currently Directors of the Company. Mr Wong Gang sits on the boards of two listed companies in Singapore and is a lawyer practising in the area of corporate finance. Apart from them, none of the other members of the new Board have prior experience as directors of public listed companies in Singapore. They have, however, received relevant training to familiarise themselves with the roles and responsibilities of a director of a public listed company in Singapore. The Company noted that although Mr Rudolph Schlais and Dr Liu Xiaozhi have no prior experience as directors of public listed companies in Singapore, Mr Rudolph Schlais has held very senior positions and various directorships throughout his career, including companies in within the GM group and Shanghai-listed Fuyao Glass Industry Group Co., Ltd, and Dr Liu Xiaozhi has previously served as a director of Shanghai-listed Fuyao Glass Industry Group Co., Ltd.
